UAE Corporate Tax Registration for New Companies: Requirements, Process and Deadlines (2026 Guide)

Starting a new company in the UAE involves more than obtaining a trade licence and opening a corporate bank account. Business owners must also understand their corporate tax obligations, including registration with the Federal Tax Authority (FTA), maintaining financial records, and submitting tax returns within the applicable deadlines.

UAE corporate tax registration for new companies is a key compliance requirement for businesses established in mainland UAE and free zones. Most companies must register with the FTA and obtain a Corporate Tax Registration Number (TRN), even if they expect to pay no corporate tax because their taxable income is below the applicable threshold.

This guide explains how new businesses can register for UAE corporate tax, which documents are required, when to apply, and how foreign investors can manage their tax compliance.

What Is UAE Corporate Tax Registration?

UAE corporate tax registration is the process through which a business registers with the Federal Tax Authority under the UAE Corporate Tax Law, Federal Decree-Law No. 47 of 2022, as amended.

The registration allows the FTA to identify the taxable person and administer its corporate tax obligations. Once the application is approved, the company receives a Corporate Tax Registration Number.

Corporate tax registration is completed online through the FTA’s EmaraTax platform. The official registration service is available 24 hours a day, seven days a week, and the FTA lists the service as free of charge.

A company should distinguish between three separate responsibilities:

  • Corporate tax registration: Registering the business with the FTA.
  • Corporate tax return filing: Reporting taxable income and relevant tax information for each tax period.
  • Corporate tax payment: Paying any corporate tax due within the applicable deadline.

Registration does not automatically complete the company’s annual filing and payment obligations.

Who Needs to Register for UAE Corporate Tax?

Under the UAE corporate tax framework, taxable persons are generally required to register with the FTA, including businesses that qualify for a 0% corporate tax rate or operate in a free zone.

The registration requirement depends on the company’s legal status, business activities, and circumstances.

1. Mainland Companies

Businesses incorporated or established in mainland UAE, including limited liability companies (LLCs), are generally required to register for corporate tax.

For example, a newly established LLC in Dubai, Abu Dhabi, Sharjah, or another emirate will generally need to apply for corporate tax registration within the prescribed period after incorporation.

This requirement is separate from obtaining a commercial or professional trade licence.

2. UAE Free Zone Companies

Free zone companies are also within the UAE corporate tax framework.

A free zone business may qualify as a Qualifying Free Zone Person and benefit from a 0% corporate tax rate on qualifying income, provided it satisfies the relevant statutory conditions.

However, free zone incorporation alone does not automatically provide a 0% rate on all business income. Qualifying income, non-qualifying income, substance requirements, and other conditions must be assessed under the applicable rules.

Free zone companies should therefore complete their registration and determine their tax status based on their actual activities and circumstances.

3. Foreign-Owned UAE Companies

Foreign investors can establish or own companies in the UAE under the applicable ownership and licensing rules.

A UAE-incorporated company with foreign shareholders is generally subject to the same corporate tax registration framework as other UAE-incorporated juridical persons.

Foreign ownership does not, by itself, exempt a company from corporate tax registration.

A non-resident foreign company may also have registration obligations if it creates a taxable presence in the UAE, such as a permanent establishment or relevant UAE nexus. The deadline depends on the type and date of that presence.

UAE Corporate Tax Registration Deadline for New Companies in 2026

One of the most important steps for a newly established company is identifying its registration deadline.

According to the FTA’s registration timeline rules, a UAE juridical person incorporated, established, or otherwise recognised on or after 1 March 2024 must generally submit its corporate tax registration application within three months from the date of incorporation, establishment, or recognition. This includes qualifying free zone and mainland companies.

Corporate Tax Registration Deadline Table

Company situationGeneral registration deadline
New UAE mainland company established on or after 1 March 2024Within 3 months of incorporation or establishment
New UAE free zone company established on or after 1 March 2024Within 3 months of incorporation or establishment
Foreign company effectively managed and controlled in the UAEWithin 3 months from the end of its financial year, subject to the applicable rules
Non-resident juridical person with a UAE permanent establishment arising on or after 1 March 2024Within 6 months from the date the permanent establishment is established
Non-resident juridical person establishing a UAE nexus on or after 1 March 2024Within 3 months from the date the nexus is established

These are general categories. Special circumstances, changes in legal status, multiple licences, and applicable FTA decisions can affect the precise deadline. Companies should verify their own category before relying on a general timeline.

Example: A New Dubai Company

Suppose an entrepreneur establishes a Dubai mainland LLC on 10 October 2026.

The general three-month registration period means the company should submit its corporate tax registration application by 10 January 2027, subject to confirmation of the legally applicable deadline and how the period is calculated.

The company should not wait until it earns a profit or crosses a particular revenue threshold before checking its registration obligation.

Important: The historical registration deadlines for companies established before 1 March 2024 were based on different rules, including the month of licence issuance. A new company in 2026 should not automatically apply those historical deadlines to its circumstances.

What Is the UAE Corporate Tax Rate for New Companies?

The UAE corporate tax system applies different rates depending on taxable income and the company’s tax status.

For most businesses subject to the standard corporate tax regime, the applicable rates are:

Taxable income up to AED 375,000

Standard corporate tax threshold

0%

Taxable income exceeding AED 375,000

Standard rate on the portion exceeding the threshold

9%

These rates apply to taxable income, not simply to total revenue or money received into a business bank account. The calculation is based on accounting income adjusted under the UAE Corporate Tax Law.

For example, if a company has AED 500,000 in taxable income and qualifies for the standard rates, the calculation would be:

CalculationAmount
Taxable incomeAED 500,000
First AED 375,000 at 0%AED 0
Remaining AED 125,000 at 9%AED 11,250
Total corporate taxAED 11,250

The standard rates do not necessarily apply in the same way to Qualifying Free Zone Persons or multinational groups subject to special rules.

Does a New Company Need to Register If It Has No Profit?

Yes, generally.

A newly established UAE company may have no revenue, no customers, or no taxable profit during its initial months. These circumstances do not automatically remove its corporate tax registration obligation.

A company that is required to register should complete the process even if it expects its corporate tax liability to be zero.

Registration and tax liability are two different matters. Registration establishes the company’s tax status, while the annual tax return determines the company’s taxable income and any amount payable.

Documents Required for UAE Corporate Tax Registration

Before applying through EmaraTax, a company should prepare its legal and ownership documents.

The Federal Tax Authority identifies the following documents for corporate tax registration. Additional documents may be required depending on the entity’s legal structure and circumstances.

Corporate Tax Registration Checklist

Prepare clear, valid documents before beginning the application.Valid UAE trade licence, including applicable branch licencesCertificate of Incorporation, Memorandum of Association (MOA), or partnership agreement, if availableCommercial registration certificate or official document issued by the licensing authorityPassport and Emirates ID copies of owners holding more than 25% ownership, where applicablePassport and Emirates ID of authorised signatories, as applicableProof of authorisation for the person submitting the application

Documents are generally uploaded in PDF format. The FTA’s registration service specifies a maximum file size of 15 MB per document.

Additional Documents for Foreign Investors

Foreign shareholders may need to provide valid identification documents and supporting corporate records, depending on the company’s ownership structure.

Where a company has a corporate shareholder, a complex ownership chain, or an authorised representative, the FTA may require additional evidence to establish the identity of the taxable person and the authority of the signatory.

Foreign investors should ensure that the company’s legal name, licence details, ownership information, and authorised representative details are consistent across the application and supporting documents.

If any document is issued outside the UAE, the company should check whether attestation, translation, or other supporting formalities are required for its particular case.

How to Register for UAE Corporate Tax Through EmaraTax

The corporate tax registration process is completed online through the FTA’s EmaraTax platform.

The FTA provides the following general registration procedure.

Step-by-Step Registration Process

  1. Create an EmaraTax accountVisit the official FTA EmaraTax platform  and create or activate an account using the required contact details. Existing FTA users may sign in to their accounts.
  2. Create a taxable person profileAccess the dashboard and create a new Taxable Person Profile for the company if one does not already exist.
  3. Open the corporate tax registration serviceSelect the relevant taxable person account. Under the Corporate Tax section, use the action menu and select the registration option.
  4. Complete the company informationEnter the company’s legal name, trade licence details, business activities, incorporation information, ownership structure, and other requested information.
  5. Upload supporting documentsAttach the required licence, incorporation records, identification documents, and proof of authorisation where applicable.
  6. Review and submit the applicationCheck all information for accuracy before submitting the application to the FTA. Retain the application reference and monitor the account for updates or requests for additional information.
  7. Receive the Corporate Tax Registration NumberOnce the application is approved, the company can access its corporate tax registration details through its EmaraTax account.

The FTA currently lists approximately 25 minutes as the estimated time to submit a corporate tax registration application and 20 business days as its estimated processing time for a completed application. These are estimates, not a guarantee of approval within a fixed period.

What Happens If a Company Misses the Registration Deadline?

Failing to register for corporate tax within the prescribed timeframe can result in administrative penalties.

The FTA’s corporate tax registration service identifies an administrative penalty of AED 10,000 for late registration.

A company should not assume that it is exempt from the penalty simply because it has not started trading or has not generated taxable income.

Corporate Tax Late Registration Penalty Waiver

The FTA also provides a late registration penalty waiver initiative, subject to specified conditions.

Under the initiative described by the FTA, a taxable person may qualify for a waiver of the AED 10,000 penalty if it submits its first corporate tax return, or the applicable annual declaration for an exempt person, within seven months from the end of its first tax period.

The initiative may cover eligible persons who have already registered late, have not yet submitted their registration application, or have been charged the penalty. Where the penalty has already been paid, an eligible amount may be credited to the taxpayer’s account under the initiative’s conditions.

This is a conditional relief measure, not an automatic extension of the registration deadline. New companies should register within the prescribed period rather than rely on a possible waiver.

For companies that have already missed a deadline, the applicable relief conditions and current FTA decisions should be reviewed before deciding what action to take.

Corporate Tax Return Filing and Ongoing Compliance

Corporate tax registration is the first step. After registration, a UAE company must understand its ongoing obligations under the corporate tax framework.

1. Corporate Tax Return Filing Deadline

Taxable persons are generally required to submit a corporate tax return and pay any corporate tax due within nine months from the end of the relevant tax period.

United Arab Emirates

For example, if a company’s financial year ends on 31 December 2026, its corporate tax return and any tax payable would generally be due by 30 September 2027.

The deadline depends on the company’s actual tax period, so businesses should confirm their financial year-end and first tax period.

2. Maintain Proper Accounting Records

New companies should maintain accurate financial records from the beginning of their operations.

These records may include:

  • Sales invoices and expense receipts.
  • Corporate bank statements and transaction records.
  • Payroll and employee-related expenses.
  • Contracts, agreements, and business transactions.
  • Accounting statements and supporting tax calculations.

Proper bookkeeping helps companies determine taxable income, prepare returns, and respond to any FTA requests.

3. Review VAT Registration Separately

Corporate tax registration and VAT registration are separate obligations.

A UAE-resident business generally becomes subject to mandatory VAT registration when the value of its taxable supplies and imports exceeds AED 375,000 over the previous 12 months or is expected to exceed that threshold within the next 30 days, subject to the applicable VAT rules.

A company may therefore need to consider both corporate tax and VAT registration, depending on its activities and turnover.
