How do I register a company in the USA?

US companies are formed at the state level — you file formation documents (such as Articles of Organization for an LLC or Articles of Incorporation for a corporation) with a state, then obtain an EIN from the IRS. A registered agent in the state of formation is generally required. We handle the state filing, the EIN and the setup for you.

What is an EIN and who issues it?

An EIN (Employer Identification Number) is the federal tax identification number for a business, issued by the IRS (Internal Revenue Service). It is generally needed to open a US bank account, hire, and file taxes. Non-residents can obtain an EIN without a US Social Security Number. We handle the EIN application as part of setup.

What is the difference between an LLC, a C-Corp and an S-Corp?

In broad terms: an LLC is flexible and taxed on a pass-through basis by default; a C-Corporation is taxed at the corporate level and can issue stock, which makes it common for raising investment; and an S-Corporation is a tax election (made with the IRS) that a qualifying company can choose for pass-through treatment. Can a non-US resident open a US company?

What is foreign qualification?

If your company is formed in one state but conducts business in another, that other state generally treats it as a “foreign” company and requires it to register there — known as foreign qualification. We advise on where this applies to you and handle the filings.
